OBJECTIVES OF THE CODE
This Code of Ethics sets out the principles by which the Company is guided, both to prevent the commission of the offences referred to in Legislative Decree no. 231/01 as a prerequisite for the administrative liability of the Entity, and to bring every aspect of the Company's activity into line with the fundamental principles of the legal system.
This document expresses the commitments, standards of behaviour and rules of conduct that the Company's directors, corporate bodies, employees and collaborators undertake in the conduct of business and in the performance of their duties within the company or on its behalf.
The Code of Ethics aims to bring the Company's operations, conduct and modus operandi into line with the general principles set out below, both in internal relations and in relations with external parties, giving importance to full compliance with the laws and regulations in force, as well as to observance of company procedures.
Every party connected to the Company on any basis is required to be familiar with this Code of Ethics, to contribute to its implementation, and to report any shortcomings and violations in accordance with the procedures specifically provided for in this Model.
The Company undertakes to promote awareness of the Code among its recipients by carrying out specific training and awareness-raising activities, and it establishes suitable measures to ensure its full and effective application.
Any conduct contrary to the letter and spirit of the Code of Ethics will be sanctioned in accordance with the provisions of the Code itself and of the Disciplinary Regulations. In this regard, the following will be deemed significant and subject to sanction, where they occur in the course of work activity:
- Violations that constitute predicate offences referred to in Legislative Decree no. 231/01, whether completed or attempted;
- Violations that constitute other offences under the Criminal Code, whether completed or attempted;
- Violations that, although not constituting an offence, are contrary to the norms and principles of the Code of Ethics.
The above violations will be sanctioned in accordance with the Disciplinary Regulations regardless of the outcome of any parallel criminal proceedings, and without prejudice to any action for damages.
The Model provides for the regulation of information flows to the Supervisory Body (O.d.V.), which is tasked with reporting to the governing body any violations of this Code of which it becomes aware. CONTINUES IN PDF FORMAT...
